Terms of Service

These Terms of Service ("Terms") govern your access to and use of any product or service operated by Kloud45 ("Kloud45", "we", "us", or "our"), a registered technology company (RG No. 8856807) based at 7a Zircon Road, Sapphire Garden, Awoyoya, 105102, Ibeju-Lekki, Lagos, Nigeria — including Kloudesta, Melu, ResQbox, and KloudMedics (each, a "Product", collectively the "Services"). By creating an account or otherwise using any Product, you agree to be bound by these Terms.

2. Eligibility & Accounts

You must be at least 18 years old and legally able to enter into a binding contract to use any Product, unless a specific Product states otherwise. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Subscription Plans & Fees

Where a Product is offered on a paid or subscription basis (currently Kloudesta), applicable fees, billing cycles, and plan features are disclosed to you at the point of sign-up or upgrade. Fees are billed in advance and, unless stated otherwise, are exclusive of applicable taxes.

4. Payments & Billing

Where payments are collected, they are processed through our third-party payment processor, Paystack. Kloud45 does not store your full card details; the payment processor handles transaction data in accordance with its own security standards and privacy policies. You authorize us to charge your chosen payment method for all fees incurred under your subscription or order.

5. User Responsibilities & Acceptable Use

You agree to use our Products only for lawful purposes and not to: (a) reverse-engineer or attempt to extract the source code of any Product; (b) use a Product to store or transmit unlawful, infringing, or fraudulent content; (c) interfere with the security or normal operation of any Product; or (d) resell or sublicense access to a Product without our written consent.

6. Product-Specific Terms

Kloudesta

Kloudesta is provided on a subscription basis to hospitality businesses for managing rooms, orders, billing, inventory, and staff. You retain ownership of the business, guest, and transaction data you input into Kloudesta ("Customer Data"); we process Customer Data solely to provide and improve the Service.

Melu

Melu connects customers, riders, and vendor businesses for delivery, mobility, and marketplace transactions. As a joint venture between Kloud45 and OkachDeliver, certain operational and support functions may be carried out by either party. Vendors using the Melu vendor app are independently responsible for the accuracy of their listings and fulfillment of orders placed through the platform.

ResQbox

ResQbox is a supplementary personal-safety tool that shares your location and alerts with your designated emergency contacts. ResQbox is not a replacement for official emergency services. In a life-threatening emergency, you should contact local emergency responders directly. Kloud45 does not guarantee message or alert delivery in all network or device conditions.

KloudMedics

KloudMedics facilitates remote consultations between patients and independent healthcare practitioners and enables patient record management. Kloud45 does not itself practice medicine; practitioners using the platform are solely responsible for the clinical advice and care they provide. KloudMedics is not intended for medical emergencies — in an emergency, seek immediate in-person or emergency medical care.

7. Intellectual Property

Our Products, including their software, branding, and underlying technology, are the property of Kloud45 (or, in the case of Melu, jointly with OkachDeliver) and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in a Product — only a limited, non-exclusive, non-transferable right to use it in accordance with your account or subscription.

We process the personal and business data you provide across our Products as described in our Privacy Policy.

9. Service Availability & Support

We aim to keep our Products available and performant but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or circumstances beyond our reasonable control may affect availability. Support is available via the contact details below.

10. Limitation of Liability

To the maximum extent permitted by law, Kloud45 shall not be liable for any indirect, incidental, or consequential damages arising from your use of any Product. Our total liability for any claim arising from these Terms shall not exceed the fees you paid us in the three (3) months preceding the claim.

11. Termination

You may cancel a paid subscription at any time through your account settings or by contacting support. We may suspend or terminate access to a Product if you breach these Terms or if required by law. Refund handling on termination is described in our Refund Policy.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the relevant Product or by email. Continued use of a Product after changes take effect constitutes acceptance of the revised Terms.
